If any Platform permits comments, messages, or submissions (“User Content”), you represent you have necessary rights. You grant us a nonexclusive, worldwide, royalty-free license to host, display, and distribute your User Content solely in connection with the Platforms. You will not post unlawful, infringing, defamatory, deceptive, or harmful material; nor harass others or disrupt operations. We may remove User Content or suspend access at our discretion.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE QUBIT REPORT, LLC AND OUR SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; WHERE THEY DO NOT, SUCH LIMITS APPLY TO THE FULLEST EXTENT PERMITTED.

10. Indemnification

You agree to defend, indemnify, and hold harmless The Qubit Report, LLC and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Platforms or violation of these Terms.

11. Copyright (DMCA) Policy

If you believe material on our Platforms infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to our designated agent below. We may remove or disable access to allegedly infringing material and may terminate repeat infringers.

12. Governing Law; Venue

These Terms are governed by the laws of the State of Ohio, U.S.A., without regard to conflict-of-laws rules. Subject to Section 13, the exclusive jurisdiction and venue for any permitted court action are the state or federal courts located in Columbus, Ohio.

13. Dispute Resolution; Arbitration; Class-Action Waiver

Informal Resolution. Email contact@qubitreport.com with a brief notice of the dispute and allow 30 days for informal resolution.

Arbitration. If unresolved, disputes will be settled by binding arbitration conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in English, in Columbus, Ohio (or via non-appearance proceedings where appropriate).

No Class Actions. Disputes must be brought individually, not as a class or representative action.

Small Claims Exception. Either party may bring an individual action in small claims court. Either party may seek temporary equitable relief to preserve the status quo pending arbitration.

14. Termination

We may suspend or terminate your access to the Platforms for any violation of these Terms or for any reason at our discretion. Upon termination, Sections 4–17 survive.

15. Export Controls

You agree to comply with all applicable U.S. and international export control laws and regulations related to your use of the Platforms.

16. Electronic Communications; Notices

You consent to receive communications from us electronically (e.g., postings, emails). Such communications satisfy any legal requirement that they be in writing.

17. Miscellaneous

These Terms constitute the entire agreement between you and The Qubit Report, LLC regarding the Platforms and supersede prior agreements on that subject. If any provision is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction.
